This Agreement is entered-into and performed in the State of Florida, United States of America, and is governed by the laws of the State of Florida. Each party to this Agreement submits to the sole and exclusive personal jurisdiction of the competent state court sitting in Hillsborough County, Florida and hereby waives any right to remove such action to federal court. The parties for themselves and their successors and assigns, hereby waive any right to trial by jury of any action arising out of this Agreement.
